1. Agreement to Terms

All projects will be governed by a project proposal or service agreement that specifies:

3.2 Client Responsibilities

To ensure successful project delivery, clients agree to:

• Provide accurate and complete project requirements
• Supply necessary content, assets, and materials in a timely manner
• Respond to communications and provide feedback within reasonable timeframes
• Ensure they have the rights to use all content provided to us
• Make payments according to the agreed schedule

4. Payment Terms

4.1 Pricing

All prices are quoted in Singapore Dollars (SGD) unless otherwise specified. Pricing may be structured as fixed-fee projects, hourly rates, or subscription-based services as outlined in the project agreement.

4.2 Payment Schedule

Unless otherwise agreed, the standard payment schedule is:

• 50% deposit upon project commencement
• 50% balance upon project completion and before final delivery

For subscription services, payment is due at the beginning of each billing cycle.

4.3 Late Payments

Invoices are due within 14 days of issuance unless otherwise agreed. Late payments may result in project delays, suspension of services, or late payment fees as specified in the project agreement.

5. Intellectual Property

5.1 Client Materials

You retain ownership of all content, materials, and intellectual property you provide to us for use in your project. You grant us a license to use these materials solely for the purpose of completing the project.

5.2 Deliverables

Upon full payment, you will own the custom work created specifically for your project, including custom designs, code, and content. This excludes:

• Pre-existing tools, frameworks, and libraries
• Third-party components and plugins
• Reusable code and templates we maintain for general use

5.3 Portfolio Rights

We reserve the right to display completed projects in our portfolio and marketing materials, unless otherwise agreed in writing.

6. Revisions and Changes

The number of revisions included in a project will be specified in the project agreement. Additional revisions or changes to the agreed scope may incur additional charges. Significant scope changes may require a new proposal and timeline adjustment.

7. Project Timeline

Estimated timelines are provided in good faith based on the project scope and our current workload. Timelines may be affected by:

• Delays in client feedback or content provision
• Scope changes requested by the client
• Technical complexities discovered during development
• Third-party dependencies

We will communicate any significant timeline changes as soon as they become apparent.

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner. We provide a 30-day warranty period after project completion to address any bugs or issues related to our work.

8.2 Disclaimer

Except as expressly stated, our services are provided "as is" without warranties of any kind. We do not guarantee specific results, search engine rankings, or business outcomes from our services.

9. Limitation of Liability

To the maximum extent permitted by law, Convertleadsapp shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from or related to our services. Our total liability shall not exceed the fees paid for the specific services giving rise to the claim.

10. Termination

10.1 Termination by Client

You may terminate a project at any time with written notice. Upon termination, you will be responsible for payment for all work completed up to the termination date. Deposits are non-refundable once work has commenced.

10.2 Termination by Convertleadsapp

We reserve the right to terminate a project if:

• Payment obligations are not met
• The client fails to provide necessary materials or feedback
• The client engages in abusive or unethical behavior
• Continuing the project would violate our values or legal obligations

11. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This obligation survives the termination of the business relationship.

12. Indemnification

You agree to indemnify and hold harmless Convertleadsapp from any claims, damages, or expenses arising from:

• Your use of our services
• Content or materials you provide that infringe on third-party rights
• Your violation of these Terms of Service
• Your violation of any applicable laws or regulations

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Singapore. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

14. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.
